GOVERNOR David M. Apatang on Wednesday signed House Bill 24-13 into law, reducing Department of Commerce fees by 25%. Authored by Rep. Thomas John Manglona, H.B. 24-13 is now Public Law 24-27.
The measure amends P.L. 21-37, lowering fees, eliminating daily penalties, and authorizing the Commerce secretary to adjust fees as needed. It also removes the sunset provision in the original law that required a 25% reduction if Commerce “is unable to procure and implement an online platform” by Dec. 21, 2022.
Under Public Law 24-27, fees are reduced as follows:
• Articles of Organization (LLC): $150 → $112.50
• Articles of Incorporation: $150 → $112.50
• Application for Reinstatement following administrative dissolution: $250 → $187.50
• Application for Certificate of Authority for Foreign Corporation: $250 → $187.50
• Application for Amended Certificate of Authority for Foreign Corporation: $50 → $37.50
• Non-Profit Corporation (Petition, Charter & Bylaws): $30 → $22.50
• Registration of Partnership: $100 → $75
• Amended Articles of Organization: $100 → $75
• Amended Articles of Incorporation: $100 → $75
• Restated Articles of Incorporation: $100 → $75
• Articles of Dissolution/Termination: $50 → $37.50
• Articles of Merger or Share Exchange: $100 → $75
• Articles of Revocation of Dissolution: $50 → $37.50
• Annual & Initial Corporation Reports (Domestic, Foreign, Partnership, LLC): $100 → $75
• Application for Certificate of Withdrawal: $50 → $37.50
• Articles of Correction: $25 → $18.75
• Service of Process served on the Registrar of Corporations: $200 → $150
• Other documents required or permitted to be filed (e.g., bylaws affidavit, minutes, resolutions, amendments, annual reports, operating agreements, stock filings, officer resignations): $50 → $37.50
• Non-Profit Corporation Initial Report: $10 → $7.50
• Application for Certificate of Existence, Authorization, or Good Standing: $50 → $37.50
• Registered Agent Form: $50 → $37.50
• Agent’s Statement of Change of Registered Office or Resignation: $10 → $7.50
• Application for Reservation of Name or Notice of Transfer of Reserved Name: $50 → $37.50
• Application for Registered Name or Renewal of Registered Name: $50 → $37.50
• Corporation’s Statement of Change of Registered Agent or Registered Office (or both): $25 → $18.75
• Certificate or Certification of Document: $20 → $15
• Annual Subscription for the Commonwealth Register: $100 → $75
• Postage Fee for the Commonwealth Register: $30 → $22.50
• Per Document (Articles of Incorporation, Bylaws, Annual Reports – uncertified copies): $5 → $3.75
• Expedited Service Fee for Business Organization Document Filing (fulfilled within one business day): $150 → $112.50
• Expedited Service Fee for Certified Research Requests (fulfilled within one business day): $150 → $112.50
